1. Acceptance of Terms

These Terms of Use (the "Terms") are entered into between you as a user of the platform (the "User", "you" and "your") and Nōvele Inc. ("Nōvele", "we", "us", "our") and govern your use of our bilingual (French/English) reading application allowing users to track their readings, keep a personal reading journal, discover new books and interact with a community of readers (the "Service") »).

By accessing the Nōvele mobile app or website, or creating an account, you agree to be bound by these Terms. Please also see our Privacy Policy which explains how we collect, use, store and protect your personal information. If you do not agree to these Terms, you may not use the Service.

BY COMPLETING THE PROCESS OF CREATING A USER ACCOUNT, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS AND YOU EXPRESSLY AGREE TO BE BOUND BY ALL OF ITS TERMS.

2. Account creation and management

2.1 Registration

To use the Service, you must create an account by providing a valid email address and password. You agree to provide accurate, complete and up-to-date information.

2.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You are responsible for any misuse of your password or unauthorized access. If you suspect any unauthorized access to or use of your account, you must immediately change your password and notify us immediately of any unauthorized access to your account at contact@novele.ca. You agree that, until you notify us of suspected unauthorized access or unauthorized use, we will treat any instructions transmitted using your password as authorized by you and we will have no obligation to investigate the validity of such instructions.

2.3 Profile Picture

You can upload a profile picture. By doing so, you represent that you own the rights to this image or that you have obtained the necessary permissions. Nōvele reserves the right to remove any image that is inappropriate, offensive, or in violation of these Terms.

2.4 Minimum age

You must be at least 14 years old to create an account and use Novele.

2.5 Suspension and Termination

Nōvele reserves the right to suspend or terminate your account without notice for violations of these Terms, fraudulent activity, or behavior that is harmful to the community or the Service.

3. Subscription, billing, and free trial

3.1 Freemium Model

Nōvele offers limited free access as well as a paid subscription giving access to all the features of the Service.

3.2 Free Trial

Nōvele may offer a free trial period giving access to all the premium features. The duration of the trial is indicated in the app at the time of registration. At the end of the trial period, your subscription will automatically be converted to a paid subscription unless you cancel it before the expiration date.

3.3 Pricing and billing

Subscription rates (monthly or annual) are displayed in the app and are subject to change with 30 days' notice. Billing is done through the applicable app store. The billing terms of these platforms also apply.

3.4 Cancellation

You can cancel your subscription at any time from your device's settings. Cancellation takes effect at the end of the current billing period. No refunds are made for partially used periods, unless otherwise required by law.

3.5 Promotions

Nōvele may, from time to time, offer promotions, discounts or special offers. These offers are governed by specific terms and conditions communicated at the time of their launch. Nōvele reserves the right to modify or terminate any promotion at its sole discretion without notice.

3.6 No sale of physical goods

Nōvele does not sell any physical or tangible goods. The Service is limited to digital access to a software application and its features.

4. Intellectual Property and Trademark

4.1 Exclusive property of Novele

All content, visuals, design, text, functionality, source code, algorithms, trademarks, logos, the name "Nōvele" and any other distinctive element of the Service are the exclusive property of Nōvele Inc. and are protected by Canadian and Quebec copyright, trademark and intellectual property laws.

4.2 Prohibited Use

It is strictly forbidden, without the prior written permission of Nōvele, to:

  • Reproduce, copy or distribute any content owned by Nōvele

  • Use the "Nōvele" trademark or any associated logo

  • Create derivative works based on the Service

  • Reverse engineer the source code

  • Use the Service for any unauthorized commercial purpose

4.3 User-generated content

You retain ownership of the content you create in the app (notes, private journal, lists, voice notes). By posting public content (impressions, shared reviews), you grant Nōvele a non-exclusive, worldwide, royalty-free license to display and distribute such content as part of the Service.

5. Comments, suggestions and feedback

If you submit any comments, suggestions, ideas, or other feedback regarding Nōvele ("Feedback"), you grant Nōvele Inc. an irrevocable, perpetual, worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, translate, and incorporate such Feedback into the Service or any other product, without any obligation to attribute attribution to you or compensate you.

This right applies regardless of the form in which the Feedback is submitted: email, form, social media, interview or any other means of communication.

6. User Conduct

By using Nōvele, you agree not to:

  • Post content that is unlawful, offensive, defamatory, hateful, or that violates the rights of others

  • Impersonating another person

  • Upload files that contain viruses or any malicious code

  • Use the Service for spam or unsolicited marketing

  • Attempting to circumvent the security measures of the Service

  • Accessing the Service by unauthorized automated means

  • Reproduce or distribute copyrighted content without permission

7. Availability of the Service

Nōvele strives to keep the Service available at all times, but does not guarantee uninterrupted availability. Interruptions may occur for maintenance, updates or in the event of force majeure. Nōvele shall not be liable for any loss arising from any interruption of the Service.

Nōvele reserves the right to modify, suspend or discontinue all or any part of the Service at any time, with or without notice.

8. Limitation of Liability

YOU UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICES AND YOUR ACCOUNT IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND NOVELE MAKES NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE SERVICES, INCLUDING, WITHOUT LIMITATION: ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ANY WARRANTY THAT THE SERVICES ARE ERROR-FREE, THAT THEY WILL OPERATE WITHOUT INTERRUPTION, THAT THEY WILL BE COMPATIBLE WITH YOUR EQUIPMENT, SOFTWARE OR OPERATING SYSTEM CONFIGURATION, OR THAT IT WILL MEET YOUR NEEDS. THE FOREGOING SHALL NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

WE CANNOT AND DO NOT GUARANTEE THAT FILES OR DATA AVAILABLE FOR DOWNLOAD FROM THE INTERNET, OUR APP OR OUR WEBSITE WILL BE FREE OF VIRUSES OR OTHER DESTRUCTIVE CODE. YOU ARE FULLY RESPONSIBLE FOR YOUR USE OF THE SERVICES AND FOR THE SECURITY OF YOUR COMPUTER, THE INTERNET, AND DATA. TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DENIAL-OF-SERVICE ATTACK, DISTRIBUTED DENIAL-OF-SERVICE ATTACK, OVERLOADING, FLOODING, MAILBOMBING OR CRUSHING, VIRUSES, TROJAN HORSES, WORMS, PROGRAMMED BOMBS OR ANY OTHER TECHNOLOGICALLY MALICIOUS MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, YOUR COMPUTER PROGRAMS, DATA, OR OTHER MATERIAL BELONGING TO YOU AS A RESULT OF YOUR USE OF THE SERVICES, DOWNLOADING ANY MATERIALS POSTED ON THE SERVICES, OR ON ANY WEBSITES LINKED TO ANY OF THEM.

EXCEPT WHERE SUCH EXCLUSIONS ARE PROHIBITED BY LAW, IN NO EVENT SHALL NOVELE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, LICENSEES, SUPPLIERS OR SUCCESSORS BE LIABLE FOR NEGLIGENCE, GROSS NEGLIGENCE, NEGLIGENT MISREPRESENTATION, FUNDAMENTAL BREACH, DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, INCLUDING DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF REPUTATION, LOSS OF DATA, AND WHETHER CAUSED BY TORT, A BREACH OF CONTRACT, BREACH OF PRIVACY OR OTHERWISE, EVEN IF YOU HAVE BEEN ADVISED OR HAVE REASON TO KNOW, ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SERVICES OR YOUR INABILITY TO RELY ON THE SERVICES.

9. Applicable law and jurisdiction

These Terms shall be governed by and construed exclusively in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without giving effect to any choice-of-law or conflict of law provision, principle, or rule (whether under the laws of the Province of Quebec or any other jurisdiction) and notwithstanding your domicile or place of residence. The parties hereby irrevocably submit to the exclusive jurisdiction of the courts of the Province of Quebec, Canada, district of Montreal. You waive any objection to the exercise of jurisdiction of such courts over you and to the jurisdiction and venue of such courts.

If you are a consumer residing in Quebec, the provisions of the Consumer Protection Act (R.S.Q., c. P-40.1) also apply and prevail over any provision to the contrary in these Terms.

10. Changes to the Terms

Nōvele reserves the right to modify these Terms at any time. Your use of the Services will be governed by the then-current version of these Terms.
